Welcome to www.awesomecoaches.com (the "Site"), operated by AwesomeCoaches ("we," "us," "our"). These Terms and Conditions ("Terms") govern your access to and use of the Site and our branding, content marketing, email marketing and automation, marketing automation, sales funnel and landing page, lead generation, paid advertising, and sales enablement services (collectively, the "Services"), provided to coaches, consultants, and content creators.

By accessing the Site, booking a strategy call, or engaging our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Site or our Services.

  1. WHO WE ARE

AwesomeCoaches provides a connected marketing system — branding and positioning, content marketing, email marketing, marketing automation, sales funnels and landing pages, lead generation, paid ads, and sales enablement — built on platforms such as Kajabi, GoHighLevel, ClickFunnels, and Systeme.io, for coaches, consultants, and content creators.

  1. ELIGIBILITY

Our Services are intended for business owners, coaches, consultants, and content creators over the age of 18. By using the Site or engaging our Services, you confirm that you meet this requirement and have the authority to act on behalf of your business.

  1. SERVICES

3.1 Scope of Services
The specific scope, deliverables, timeline, and fees for our Services will be outlined in a separate proposal, service agreement, invoice, or statement of work agreed upon between you and AwesomeCoaches ("Service Agreement"). These Terms apply in addition to, and alongside, any such Service Agreement.

3.2 Strategy Calls and Audits
Free strategy calls or audits (such as those booked via Calendly) are provided for informational and consultative purposes and do not constitute a binding service commitment until a separate agreement is signed.

3.3 Platform Access
Delivering our Services may require access to your accounts on third-party platforms (such as Kajabi, GoHighLevel, ClickFunnels, Systeme.io, email marketing tools, ad platforms, or CRMs). You are responsible for providing accurate access and for any costs, subscriptions, or fees associated with those third-party platforms, which are separate from our service fees unless otherwise agreed in writing.

3.4 Client Cooperation
Timely delivery of our Services depends on your cooperation, including providing brand assets, content approvals, access credentials, and timely feedback. Delays caused by lack of client cooperation may affect timelines and are not our responsibility.

  1. FEES AND PAYMENT

4.1 Fees for Services will be specified in your Service Agreement or invoice.
4.2 Payments are due according to the schedule outlined in your Service Agreement. Late payments may result in suspension of Services.
4.3 All fees are exclusive of third-party costs, such as advertising spend, platform subscription fees, or software licenses, unless explicitly stated otherwise.
4.4 Unless otherwise stated in your Service Agreement, fees paid for Services already rendered are non-refundable.

  1. RESULTS AND PERFORMANCE

While we work diligently to deliver strong outcomes — including branding, funnels, campaigns, and automations designed to generate leads, bookings, and sales — we do not guarantee specific results, revenue figures, lead volumes, conversion rates, or return on ad spend. Marketing and advertising performance depends on numerous factors outside our control, including market conditions, platform algorithm changes, your offer, pricing, sales follow-up, and industry competition. Any case studies, testimonials, or performance figures referenced on our Site (including revenue or booked-call figures) reflect individual client results and are not guarantees of similar outcomes for your business.

  1. ADVERTISING AND THIRD-PARTY PLATFORMS

6.1 Paid Ads
Where we manage paid advertising campaigns (e.g., Meta, Google, LinkedIn), you authorize us to create, manage, and optimize campaigns using your ad accounts and budgets. You are responsible for ensuring your ad account is in good standing and for the ad spend itself, which is separate from our service fees.

6.2 Third-Party Platform Compliance
You are responsible for complying with the terms of service of any third-party platform used in connection with our Services (including Kajabi, GoHighLevel, ClickFunnels, Systeme.io, Meta, Google, and email service providers). We are not responsible for actions taken by third-party platforms, including account suspensions, policy changes, or service interruptions.

  1. INTELLECTUAL PROPERTY

7.1 Our Materials
All content on the Site, including text, graphics, logos, and the "Catalyst Marketing OS" / "Growth OS" system framework, is owned by AwesomeCoaches and protected by intellectual property laws. You may not copy, reproduce, or distribute our materials without written permission.

7.2 Client Materials
You retain ownership of your brand assets, logos, and content provided to us. By engaging our Services, you grant us a license to use, edit, and publish such materials solely for the purpose of delivering the Services.

7.3 Deliverables
Unless otherwise specified in your Service Agreement, ownership of final deliverables (such as funnels, ad creatives, email sequences, and branding assets) transfers to you upon full payment. AwesomeCoaches retains the right to showcase completed work as part of its portfolio, case studies, or marketing materials, unless you request otherwise in writing.

  1. CONFIDENTIALITY

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the course of the engagement, and to use such information solely for the purpose of delivering or receiving the Services.

  1. TERMINATION

9.1 Either party may terminate the Service Agreement according to the notice terms specified in that agreement.
9.2 We reserve the right to suspend or terminate Services if payment is not received, if you breach these Terms, or if continued provision of Services becomes impractical or unlawful.
9.3 Upon termination, you remain responsible for payment of fees for Services rendered up to the termination date.

  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, AwesomeCoaches shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities, arising from your use of the Site or our Services. Our total liability for any claim arising from the Services shall not exceed the total fees paid by you for the Services giving rise to the claim.

  1. INDEMNIFICATION

You agree to indemnify and hold harmless AwesomeCoaches, its owners, employees, and contractors from any claims, damages, or expenses arising from your use of the Services, your content, your breach of these Terms, or your violation of any third-party rights or platform policies.

  1. NO PROFESSIONAL ADVICE

Our Services relate to marketing, branding, advertising, and sales enablement. Nothing provided through our Services constitutes legal, financial, tax, or professional business advice specific to your situation. You should seek independent professional advice where appropriate.

  1. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction in which AwesomeCoaches operates, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in accordance with that jurisdiction's applicable dispute resolution process.

  1. CHANGES TO THESE TERMS

We may revise these Terms from time to time. Updates will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Services after changes are posted constitutes acceptance of the revised Terms.
